第一章 總則

Chapter 1. General Rules

第一條 本章程根據(jù)《中華人民共和國企業(yè)法人登記管理條例》（以下簡稱《條例》）和國家有關法律、行政法規(guī)、政府有關政策制定。

Article 1. The Articles of Association are formulated in accordance with the Administrative Regulations of the People's Republic of China on the Registration of Enterprise Legal Persons (hereinafter referred to as the Regulations) as well as relevant national laws, administrative rules and government policies.

第二條 廣州xxxx局（英文名稱為：xxxxxxx）是經(jīng)交通運輸部救助xxxx局批準，由交通運輸部xxxxxx局投資設立的全民所有制企業(yè)，在廣州市市場監(jiān)督管理局登記注冊，住所：廣州市海珠區(qū)xxxxxxxxx（英文名稱為：）。

Article 2. xxxxxxx is an enterprise owned by the whole people, approved by China Rescue and Salvage of Ministry of Transport of the People's Republic of China, and invested by xxxxxxx Bureau of the Ministry of Transport. It was registed in Guangzhou Market Administration, with the office located at: No.1 Building, 2356 Nanzhou Road, Haizhu District, Guangzhou.

第三條 本企業(yè)的宗旨是：誠信為本、雙贏為愿，遵循優(yōu)質、高效的標準，為客戶提供一流的服務。

Article 3. Enterprise objective: to provide customers with first-class services in accordance with high-quality and high-efficiency standards, based on the principle of keeping sincere as well as the hope of realizing a win-win situation.

第四條 本企業(yè)是獨立企業(yè)法人，一切活動遵守國家有關法律、行政法規(guī)的規(guī)定，依法自主經(jīng)營，自負盈虧，不受任何機關、團體、個人侵犯或非法干涉。

Article 4. As an independent enterprise legal person, the enterprise shall abide by the relevant laws and administrative rules of the state in all its activities, operate independently according to law, and be responsible for its profits and losses, and can not be infringed upon or illegally interfered by any institutions, organizations or individuals.

第二章 經(jīng)營范圍和經(jīng)營方式

（二）一般經(jīng)營項目：船舶財產(chǎn)救助服務；水上救助服務；海上船舶溢油清除服務；沉船沉物xxxx服務；船舶人員救助服務；防止船只漏油服務；國際船舶運輸；港澳航線貨物運輸；內(nèi)貿(mào)普通貨物運輸；為船舶進出港、靠離碼頭、移泊提供頂推、拖帶等服務；交通運輸咨詢服務；船舶引航服務；水上運輸設備租賃服務；對外承包工程業(yè)務；市政公用工程施工；水利和內(nèi)河港口工程建筑；海洋工程建筑；港口及航運設施工程建筑；鐵路、道路、隧道和橋梁工程建筑；河湖治理及防洪設施工程建筑；管道工程施工服務（輸油、輸氣、輸水管道工程）；管道設施安裝服務（輸油、輸氣、輸水管道安裝）；城市地鐵隧道工程服務；城市軌道橋梁工程服務；起重設備安裝服務；城市水域垃圾清理：金屬船舶制造；船舶改裝與拆除；砼結構構件制造；鋼結構制造；金屬結構制造；船用配套設備制造；船舶舾裝件制造與安裝；自有房地產(chǎn)經(jīng)營活動；場地租賃（不含倉儲）；其他倉儲業(yè)（不含原油、成品油倉儲、燃氣倉儲、危險品倉儲）；貨物進出口（專營?？厣唐烦猓?；技術進出口；向境外派遣各類勞務人員（不含海員）；對外勞務合作。

(2) General Business Items: ship property salvage service; water rescue service; oil spill removal service for offshore ships; salvage service for shipwrecks and sunken objects; rescue service for persons on board; oil spill prevention service for ships; international shipping; cargo transport between Hong Kong and Macao; general cargo transport for domestic trade; provide pushing, towing and other services for ships entering and leaving the port, berthing and departing the dock, and needing to be shifted; transportation consulting service; ship pilotage service; water transport equipment rental service; contracting foreign projects; construction of municipal public works; engineering construction of water conservancy infrastructure and inland ports; marine engineering construction; engineering construction of ports and shipping facilities; engineering construction of railways, roads, tunnels and bridges; treatment of rivers and lakes as well as engineering construction of flood control facilities; pipeline enghinnering construction service (oil, gas and water pipeline projects); pipeline installation service (installation of oil, gas and water pipelines); urban subway tunnel engineering service; urban rail and bridge engineering servicee; lifting equipment installation service; garbage disposal in urban waters; metal ship building; ship refitting and dismantling; manufacture of concrete structural components; manufacture of steel structures; manufacture of metal structures; manufacture of marine auxiliary equipment; manufacture and installation of ships' outfit; self-owned real estate operation activities; site leasing (excluding warehousing); other warehousing services (excluding crude oil, refined oil, gas and dangerous goods); import and export of goods (except exclusively controlled commodities); import and export of technologies; dispatching various kinds of contract workers (excluding seamen) abroad; foreign labor cooperation.  

（三）經(jīng)營方式：自主經(jīng)營。

第三章 注冊資本、投資者名稱、住所

Chapter 3. Registered Capital, Investor Name and Domicile

第六條 本企業(yè)的注冊資金為人民幣20億元。

Article 6. The registered capital of the enterprise is RMB 2 billion.

第七條 投資者名稱為交通運輸部xxxxxxx局。住所：廣州市xxxxxxxx。

Article 7. The investor name is xxxxxxx Bureau of the Ministry of Transpor. The office is located at: xxxxxxxxxxx.

第四章 投資者職責

Chapter 4. Investor's Responsibilities

第八條 企業(yè)的下列事項必須由投資者作出決定：

Article 8. The following matters of the enterprise shall be decided by the investor:

（一）審議批準企業(yè)的章程：

(1) To consider and approve the Articles of Association of the enterprise;

（二）審議批準企業(yè)的利潤分配方案和彌補虧損方案；

(2) To consider and approve the profit ditribution scheme as well as the loss covering scheme for the enterprise;

（三）企業(yè)增加或減少注冊資本；

(3) To increase or decrease the registered capital of the enterprise;

（四）審議企業(yè)轉讓出資和辦理財產(chǎn)轉移手續(xù)；

(4) To consider the transfer of capital contribution and go through property transfer procedures;
